(the “Sponsor”)



1. SICAP is a politically nonpartisan Society that serves its members and surrounding business community and is dedicated to the growth and prosperity of the community.
2. SICAP desires to form a relationship with the Sponsor for the purposes of permitting the Sponsor to offer services to members of SICAP (the “Services”).
3. The Sponsor is particularly suited to offering the Services in its identified area of operations.
4. The parties hereto desire to formalize a relationship on the terms and conditions set forth herein.

NOW THEREFORE THIS AGREEMENT WITNESSETH the parties hereto covenant and agree with each other as follows:

1. Terms of the Agreement

1.1 The Sponsor agrees that it will at all times abide by this Agreement and any Amended Agreement, regulations, rules or procedures made thereto, following five days of written notice to the Sponsor at the address first listed above or by E-Mail message, if applicable. The Sponsor’s continued sponsorship will constitute acceptance of the Amended Agreement or regulations, rules or procedures made thereto.

1.2 The SICAP Sponsorship Application (the “Application”) attached hereto as Schedule “A” contains terms integral to the interpretation of this Agreement and forms part of this Agreement.

1.3 The Monetary commitments of the Application are due and payable within 30 days of the execution of this greement.

2. Representations and Warranties of the Society

The Society represents and warrants that it:
a. is a Society duly incorporated under the Society Act of British Columbia;
b. has the capacity and authority to enter into this Agreement on the terms herein; and


3. Representations, Warranties and Covenants of the Sponsor:

The Sponsor represents, warrants and covenants that it:
a. has the capacity and authority to enter into this Agreement on the terms herein;
b. will conduct its business, whether provided under this Agreement or not, honestly and ethically, wherever it operates in the world;
c. will not use the SICAP services to commit any act, either directly or indirectly, made illegal, unlawful or contrary to any of the laws of Canada, its provinces or territories whether found at common law, legislation or in equity;
d. will not use the Sponsorship in the SICAP in any way that could reasonably be expected to disrupt the SICAP or impair the SICAP or its services to its users;
e. will make commercially reasonable efforts to promptly and properly provide all Services described in Part (B) and part (C) of the Application;
f. all information provided by the Sponsor in this Agreement and the attached Application is complete, accurate and contains no misrepresentations of any type.

4. Acknowledgements

The Sponsor acknowledges and agrees that:
a. its use of, and access to, SICAP’s benefits and programs may be suspended or removed by the SICAP, without notice, for any act which the SICAP, in its sole discretion, considers to be a violation of this Agreement;
b. information on the SICAP web site is the responsibility of individual Information Providers or other users.
c. The Sponsor hereby releases the SICAP, its officers, directors, employees and agents from any and all claims arising from malfunction or operational difficulties with the Website, the accuracy of the information contained on or provided through the website, or for any direct, indirect, incidental or consequential damages sustained in relation to the use, operation or inability to use the Website.
d. The Sponsor will indemnify and save harmless the SICAP for any loss or damage caused to or suffered by the SICAP by reason of its use or misuse of the SICAP Website and will indemnify the SICAP for any claim by any third party against the SICAP, its directions, officers, employees or agent by reason of the Sponsor’s use or misuse of the SICAP Website.

5. Authorization

The Sponsor hereby authorizes SICAP to use the name and / or logo of the company addressed at Part (A) of the Application for the purposes stated in this Agreement and, without limitation, any other purposes the SICAP may deem necessary. For greater certainty and without limiting the generality of the foregoing, the Sponsor authorizes the SICAP to upload the services address at Part (B) and Part (C) of the Application and make such services available to the SICAP and SICAP members, as applicable.

6. General Terms

6.1 This Agreement represents the entire agreement between the parties hereto and supersedes all prior agreements, representations, warranties and understanding whether oral, written or implied relative to the subject matter of the Agreement.
6.2 The parties will execute such further and other documents and do such further and other things as may be necessary to carry out and give effect to the intent of this Agreement.
6.3 This Agreement and any amendments hereto may be executed in one or more counterparts, each of which shall be deemed to be an original by the parties executing such counterparts, but all of which shall be considered one and the same instrument. A signed facsimile, telecopied, or scanned copy of this Agreement shall be effectual and valid proof of execution and delivery.

AS EVIDENCE OF THEIR AGREEMENT the parties have executed this New Agreement as of the day and year first above written.
